FAQ's
Tolaxis Real Estate Investment Ecosystem is compliant with AIFMD. Tolaxis Luxembourg is the General Partner which makes investment decisions. All acquisitions and disposals of assets are approved by our investment committee chaired by JTC AIFM. Once acquired, each asset is managed by Tolaxis Luxembourg and administered by JTC, which is a licenced administrator in Luxembourg.
All investments are subject to a rigorous investment process. We are constantly reviewing opportunities but will act only on a small subset that we find compelling. As such, only a small number of new investments may be available at any given time.

Tolaxis focuses on high-quality institutional grade assets. We are working with several large institutional developers and asset managers with a global presence in 35 countries and exceptional long-term track records.
We source income-producing assets and development projects in major cities in the following three real estate market segments: Residential, Office and Logistics. In addition to our in-house investment analysis, for each asset we order an independent valuation report produced by a top-tier valuation agent (JLL, Cushman&Wakefield, CBRE), a legal due diligence report produced by a top-tier international law firm. All of our investments are reviewed and decided upon by the investment committee on behalf of the investors. An Investment Memorandum is issued for each investment.
Investors receive distributions annually in the currency of the asset. Distributions are automatically deposited into an investor’s account. Distributions depend on the performance of a chosen investment. Investors are notified of upcoming distributions.
Investments are typically structured as joint ventures with a local operating partner/developer who invests alongside us in the property and is responsible for the day-to-day management of the property. We serve as the fund manager, major capital provider and asset manager, and we assume responsibility for major decisions on behalf of our investors. Each investment listed on Tolaxis Transactional Platform is the interests in a limited partnership (SCSp) registered in Luxembourg, holding a single asset.
Each investor can select various investments on Tolaxis Transactional Platform to diversify their portfolio over time by asset class (residential, office, logistics), by asset type (development or income producing) and by currency of the asset (geographically).
When you make an investment in a specific asset which you have chosen, you will receive interests in a Single Asset Vehicle, which is a limited partnership (SCSp) registered in Luxembourg. The partnership holds the asset you have chosen. Tolaxis Luxembourg sarl is a General Partner and JTC is the administrator in accordance with the AIFMD. Each Single Asset Vehicle has an ISIN assigned to its interests, if you are an institutional investor, you can use ISINs in your portfolio management systems to hold and value the purchased interests appropriately.
The investments are made in the currencies of the assets. For example, if an investor purchases interests in a UK asset, they are denominated in GBP and, respectively, interests in EU assets are denominated in EURO and interests in Swiss assets are denominated in CHF. All payments are administered by JTC, a licensed administrator in Luxembourg.
Our focus in on assets that require a minimum equity investment of EUR 25 million. We utilize prudent leverage at the property level in an amount and form that we believe is accretive to each opportunity, in any case, not exceeding 60%.
The investment horizon varies by asset and ranges from three to ten years and is clearly stated in the description of each asset on Tolaxis Transactional platform and in the Investment Memorandum. Investors can buy and sell interests in Single Asset Vehicles on a daily basis through Tolaxis Transactional Platform subject to the liquidity available.
